Terms of Service

These Terms of Service govern your use of the AutomateX Labs website and provide general terms for our services. Project-specific terms are set out in the relevant written client agreement.

By accessing this website or engaging AutomateX Labs for services, you agree to these Terms of Service to the extent they apply to your use. If you enter into a separate written agreement with us, that agreement will govern the relevant engagement and will control if it conflicts with these general terms.

AutomateX Labs provides AI automation, AI agents, workflow automation, integrations and related technology or implementation services. The features, systems and level of support provided depend on the needs and scope agreed for each engagement.

Descriptions on this website are general. They do not promise that every feature, integration or outcome is included in every project.

Client Responsibilities

Clients are responsible for supporting a lawful and effective implementation. Depending on the project, this may include:

  • Providing accurate and reasonably complete information.
  • Providing agreed access to systems, accounts, documentation or personnel needed for the work.
  • Maintaining appropriate permissions and authority for client-provided systems, content and data.
  • Reviewing decisions, configurations and outputs where client approval or oversight is required.
  • Using delivered systems lawfully and consistently with applicable third-party terms.
  • Cooperating with reasonable implementation, testing and support requirements.

Project Scope and Agreements

Specific deliverables, timelines, responsibilities, fees, maintenance, support and other commercial terms may be defined in a proposal, statement of work, contract or other written agreement. Changes to an agreed scope may require updated timing, fees or written approval.

Fees and Payment

Any applicable fees, invoicing arrangements, payment timing, taxes, expenses and related terms will be stated in the relevant proposal or client agreement. This website does not establish a universal price, payment schedule, refund period or late-payment charge.

Third-Party Services

Solutions may connect with third-party platforms, software, infrastructure or communication services. Those providers control their own availability, security, pricing, functionality and terms. Changes, restrictions or outages affecting a third-party service may affect an integrated solution.

Clients remain responsible for their own third-party accounts and for complying with the terms that apply to those accounts unless a written agreement states otherwise.

AI and Automated Systems

AI and automated systems can produce incomplete, inaccurate or unexpected outputs. Their behavior may also change based on inputs, configurations, connected services and underlying technology.

These systems should be configured, tested and used in a manner appropriate to the intended business context. Human review, escalation paths and other safeguards may be appropriate depending on the use case and the consequences of an error. Clients are responsible for decisions made from system outputs unless a written agreement provides otherwise.

Acceptable Use

You may not use the website or our services to:

  • Violate applicable law or the rights of another person or organization.
  • Engage in fraud, deception, harassment, abuse or harmful activity.
  • Gain unauthorized access to systems, accounts, data or networks.
  • Distribute malicious code or deliberately disrupt services.
  • Use data, communications or automated systems without required rights, permissions or consent.
  • Misrepresent your identity, authority or relationship with AutomateX Labs.

Intellectual Property

AutomateX Labs retains rights in its pre-existing materials, methods, know-how, branding, reusable components and technology. Clients retain rights in the content, data and materials they provide, subject to the permissions needed for us to perform the agreed work.

Ownership and licensing of project-specific deliverables may be addressed separately in the relevant proposal or written agreement. Nothing in these general terms is intended to override those project-specific arrangements.

Confidentiality

Each party should use reasonable care with non-public business, technical or operational information received through an engagement and use it only for appropriate project purposes. More specific confidentiality obligations, exclusions and permitted disclosures may be established in a separate agreement.

Availability and Modifications

We may update the website and may modify services as technology, business requirements or third-party platforms change. We do not guarantee uninterrupted or error-free availability. Maintenance, outages, dependencies and events outside reasonable control can affect access or performance.

Disclaimer of Warranties

Except for commitments expressly stated in a written client agreement, the website and general information on it are provided on an “as available” basis. To the extent permitted by applicable law, we do not make implied promises that every service will meet every requirement, remain uninterrupted or produce a particular business outcome.

Limitation of Liability

To the extent permitted by applicable law, AutomateX Labs will not be responsible for indirect, incidental, special or consequential losses arising from use of the website or services. Any project-specific allocation or limitation of liability will be governed by the applicable written client agreement.

Nothing in these terms excludes liability that cannot lawfully be excluded or limited.

Termination

We may restrict access to the website or decline use that violates these terms or creates a material security, legal or operational risk. Termination, suspension, transition and post-termination obligations for a client project will be governed by the relevant written agreement where one exists.

Governing Terms and Applicable Law

Any governing-law, venue or dispute-resolution terms agreed for a client engagement will be stated in the applicable written agreement. These general website terms do not designate a jurisdiction or arbitration forum.

Changes to These Terms

We may update these Terms of Service to reflect changes in our website, services or legal requirements. The current version will be posted here with its updated date. Continued use after an update means the revised terms apply from that point, subject to any separate written agreement.
